Job Purpose
After the acquisition of the cement units of Jaypee cement, Binani Cement and Century Cement, the responsibility for legal department has also increased. To provide support in all the legal matters assigned from time to time and constantly be on the learning curve. Take responsibility of the assigned units and co-ordinate with unit legal persons in preparing strategy for the cases, ensure updation and effective use of Roznama. Besides providing support in legal matters develop skills to handle matters independently with responsibility, efficiently and effectively. This position will support the litigation head for assigned unit and assigned matter from time time.

Independently handle matters assigned from time to time.
Drafting and review of commercial agreements/contracts and legal documents including standardization of commercial agreements/contracts.
Handle litigation, arbitration and learn intricacy and strategy.
Briefing and meeting lawyer and law firms.
Interact with units / business for input of data for Legal Case Management platform.
Provide legal advice on time.
Ensure compliance in the unit.
Regularly visit the units for legal audit.
Develop team work.
Job Context & Major Challenges
The Cement Business has variety of legal issues, which make the job demanding and requires professional knowledge coupled with quick response. Be a resource person for the assigned units, provide guidance in the important matters. Independently draft/Review the commercial Contracts/Agreements for the Company after understanding the business requirements. Involve in litigation and learn to manage it independently and effectively. Participation in commercial transactions and providing value additions is a critical aspect, be a team member and learn different aspect of the transactions.

KRA1 To assist in handling litigations and arbitrations. To ensure compliance of notices. a. Participate in meetings with respective unit to understand the facts and dispute.
b. To brief the lawyers/Solicitors the case with facts, applicable provisions of law.
c. Discuss the strategy for the case, evaluate legal options in the interest of the Company.
d. Liaise with lawyers for timely and speedy movement of the cases and arbitration.
e. Study and facilitate the finalisation of plaints, replies, affidavit, documents for cases and arbitration.
f. Attend courts in important cases, if required and arbitration proceedings.
g. Keep the respective units involved in above actions.
h. Train units and departments in handling of notices.
i. The entries of the notices to be made regularly in Roznama and to be monitored.
j. All the notices to be attended within the prescribed time limits, ensure that notices doesn’t result in to the legal cases.
k. Periodically verify the reports relating to receipt of the notices and disposal of the same.
KRA2 To effectively use legal case management platform, Roznama and create awareness in the unit. Effectively use the reports for the effective and timely action. a. Ensure that the team members of the assigned units are keeping the entry up-to-date.
b. Ensure smooth implementation of digitization of legal case in Roznama.
c. Regularly review the reports in the system and take necessary update.
d. Coordinate and Provide training and necessary assistance for this purpose to the team at units.
e. Train and provide necessary guidance and support to the unit team member for the use of Roznama.
KRA3 Agreement & Contract Preparation and Management a. Prepare standard commercial and legal agreements, SoPs as per the requirement of the business and function head from time to time.
b. Drat / review existing agreements / contracts being used at the unit / business and modify the same as per the changes in law and the requirement of the business.
c. As and when required participate in negotiation of key business contracts to protect the interest of the Company.
d. Validate documents and business deals for legal compliance.
e. Evaluate and ensure due-diligence in legal aspect including leave and license, lease, purchase of immovable properties, etc.
f. Implementation of documentation management through software / application.
g. Advising units / business on the importance of performance of obligations and consequences of breach of contact
KRA4 To keep updates in the legal field a. To keep self- updated with the changes in the law, rules and regulations which are directly having impact on the business e.g. mining laws, environment laws, land related laws etc.
b. To advice on compliance related matters.
c. To update the latest pronouncement of the High Courts and Supreme Court.
d. Analyse the judgment which may have impact on the business and prepare a note.
e. Share other important judgment with team for knowledge sharing.
KRA5 Visit units regularly and conduct legal cases review, documentation, legal and compliance audit. a. Plan regular visit to the units to conduct
(i) legal cases review;
(ii) documentation review; and
(iii) legal and compliance audit.
b. Prepare check list in advance for compliance audit.
c. Identify default, if any, in compliance and report to senior.
d. Take corrective action and ensure preventive measures to avoid repetition.
e. Conduct follow up visit.
KRA6 To provide legal support to seniors and work in a team for various Commercial Transactions. a. To familiarize with various corporate transaction initiatives.
b. To participate in legal due diligence.
c. Drafting and reviewing various mandates.
d. Be an effective interface with different agencies involved in the transaction.
e. Participate in meetings for negotiation of documents.
f. Contribute in preparing legal bulletin and news flash for sharing.
KRA7 Provide timely legal advise a. Units needs advices on many legal matters.
b. Annalise applicable provisions of law, research applicable judicial pronouncements.
c. Prepare case for opinion and notes from time to time on cases and matters.
d. Take external opinion, if required, with the help of seniors.
