The Company Secretary will be responsible for ensuring that the organization complies with statutory and regulatory requirements, particularly those pertaining to the International Financial Services Centre (IFSC) regulations. This role will require close coordination with regulatory bodies like IFSCA, SEBI, and RBI, as well as internal stakeholders to ensure compliance and governance standards are met.
Key Responsibilities:
Regulatory Compliance:
Ensure compliance with IFSCA, SEBI, and RBI regulations for Alternative Investment Funds (AIFs), Venture Capital Funds (VCFs), and Portfolio Management Services (PMS).
Handle SEBI compliances such as SCORES, CKYC, KRA, LEI, FATCA, and FIRMS Portal reporting (InVi, FC-TRS).
Assist in various audits including PPM Audit, Internal Audit, and Statutory Audit related to compliance and legal matters.
Prepare and review applications, letters, and communications with regulatory authorities.
Maintain compliance with investor due diligence processes including AML/KYC checks and FATCA compliances.
Corporate Governance:
Attend board and committee meetings regularly and manage the preparation of agendas, minutes, and follow-up on action items.
Draft and update corporate governance documents and ensure adherence to best practices.
Provide company secretarial advice to relevant business units and support ongoing corporate governance projects.
Legal Support:
Review and approve various legal documents including non-disclosure agreements, engagement letters, and consultancy agreements.
Draft and review communications with SEBI, RBI, trustees, and investors.
Prepare and update policies and procedures applicable to the Fund Manager or AIFs/VCFs.
Stakeholder Management:
Liaise with regulatory bodies, trustees, lawyers, investment teams, fund administration teams, portfolio companies, and investors.
Ensure effective communication and management of stakeholder expectations and requirements.
Qualifications:
Qualified Company Secretary (CS) with preferably an LLB.
Minimum 3 years of experience, particularly with exposure to SEBI and RBI regulations.
Strong communication and stakeholder management skills.
Skills:
In-depth knowledge of IFSC regulations and compliance requirements.
Excellent organizational and time management skills.
Ability to work independently and as part of a team.
Proficient in legal documentation and corporate governance practices.
