We are seeking a knowledgeable and experienced Company Secretary with a strong legal background to join our team. The Company Secretary will be responsible for ensuring the company complies with all legal and statutory requirements, maintaining high standards of corporate governance, and providing legal advice and support to the board of directors and senior management.
Responsibilities:
Corporate Governance:
Ensure compliance with corporate governance practices and guidelines.
Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
Take minutes, draft resolutions, and maintain statutory books.
Legal Compliance:
Monitor changes in relevant legislation and the regulatory environment.
Ensure compliance with laws and regulations affecting the company's operations.
Advise the board on legal and regulatory matters.
Risk Management and Compliance:
Develop and implement risk management policies and procedures.
Oversee regulatory filings and submissions.
Manage relationships with regulatory authorities.
Advisory Role:
Provide legal advice and support to the board and senior management.
Draft and review contracts, agreements, and other legal documents.
Handle legal disputes and litigation matters, working closely with external legal counsel when necessary.
Company Secretarial Duties:
Maintain the company's statutory registers and records.
Ensure compliance with corporate governance codes and best practices.
File statutory returns and handle matters related to company formation, restructuring, and dissolution.
Communication and Reporting:
Communicate with shareholders, directors, and regulatory bodies.
Prepare and distribute annual reports and financial statements.
Manage shareholder relationships and shareholder meetings.
Requirements:
A bachelor's degree in Law (LLB) or a related field. Additional qualifications such as a Company Secretary (CS) certification would be advantageous.
Proven experience as a Company Secretary or in a similar role, preferably in a legal or corporate environment.
In-depth knowledge of corporate governance principles, company law, and regulatory requirements.
Strong analytical and problem-solving skills, with the ability to interpret complex legal documents.
Excellent communication and interpersonal skills, with the ability to interact effectively at all levels of the organization.
High level of integrity and professionalism, with a commitment to ethical conduct and compliance.
Preferred Qualifications:
Experience working with boards of directors and senior executives.
Familiarity with corporate secretarial software and systems.
Ability to work under pressure and manage multiple priorities effectively.
Understanding of financial markets and corporate finance principles.
