Senior Counsel - Legal & Compliance
Ensure Compliance with Corporate Laws and monitor compliance of other applicable laws to the Company. Skills to interpret and monitor legal and regulatory guidelines. Support functions, review legal documents, and adhere to the legal framework applicable to the company.
Legal:
Ensure implementation of and improvement in the processes to help ensure that the Company complies with all applicable laws, rules & regulations, as may be applicable.
Ensuring timely review, dissemination, and implementation of new / revised laws.
Review Contracts from a legal perspective within defined timelines. Standardize/improve upon contracts/clauses for efficient reviews & reducing risk for the organization.
Supporting legal head in establishing processes/systems from a legal perspective.
Vetting internal group company agreements, SOWs, and execution thereof.
Strong exposure to Employment Laws, Employee Relations, and other employee-related compliances.
Vetting affidavits, letters, General/specific General Power of Attorney, and applications to Government Departments and Regulatory bodies.
Drafting / Reviewing & negotiating Company agreements MOUs, and Letters of Intents, as may be required.
Review Notices, Agenda, and other backup papers for convening and hold the Board Meetings, General Meetings, and Committee Meetings of the Company, including Group Companies in India.
Timely review and implementation of changes in Company Laws. Keeping legal head/management updated on changes in Company law.
Compliance
Plan, conduct, and support compliance audits.
Monitor compliances by functions and identify compliance requirements for the Company.
Inform, advise, and recommendations with respect to compliance matters.
Regularly review compliance controls, policies, and procedures to ensure that they legal and regulatory requirements.
Help ensure that employees take required training offered by the Corporate Ethics, Compliance & Investigations (CECI) team.
Help consolidate reports for reporting to the Global Compliance team as requested.
To act as Privacy Contact and support the implementation DPDP (Digital Personal Data Protection ) Act.
Qualifications
Good verbal and written communication skills and an eye for detail. Should have the ability to understand changes in Law through research. Operate ethically in accordance with all applicable laws and regulations, the company's Corporate Code of Ethics, policies, and procedures, etc
Qualification LL.B. / LL.M. & Company Secretary
Minimum of 15+ years of relevant experience handling Legal, Secretarial, and Regulatory Compliance matters.
Experience in GCC / GICs is highly preferred.
