The Covid-19 Pandemic has not only caused such expenses to increase multi fold, but also created a need for accessible systems.

In a professional setting, such offerings are either lacking, or provided in an ad hoc, broken manner through various individual platforms. As a result, the experience for an employee is disconnected, with limited utilization and engagement.

We are looking for a Company Secretary & Legal Counsel to join our high energy team

The incumbent should be well versed in heading both functions for Visit Health.

Role & responsibilities

a. Secretarial Responsibilities:

Handle corporate secretarial matters and related compliances.

Lead the legal aspects of Fund raise / IPO, coordinating with regulatory bodies (NSDL, DA, NSE, SEBI etc.), and managing due diligence processes. Work closely with investment bankers, auditors, and underwriters to ensure successful transactions / Public listing.

Oversee and ensure timely compliance with statutory and regulatory requirements applicable to Visit.

Support board, committee and annual general meetings, prepare agendas, board packs and minutes, ensure that all the legal requirements are timely fulfilled, convey decisions to stakeholders based on requirements, maintain proper records, etc.

Work with various internal teams to enable applicable board and committee approvals, provide resolutions, forms, requisite documents, etc.

Advise the management on corporate governance best practices and ensure adherence to applicable laws and regulations.

Stay updated with changes in laws, regulations and guidelines relevant to Visit's operations.

Develop and implement compliance programs to ensure adherence to all legal and regulatory requirements.

Maintain compliance trackers and conduct periodic audits to assess compliance levels and address any identified issues promptly.

b. Legal Advisory Responsibilities:

Provide legal advice on various matters, including contracts, agreements and compliance issues and negotiate terms with external stakeholders.

Identify legal and regulatory risks that may affect Visit's operations and develop strategies to mitigate them.

Review new products/services and initiatives to provide legal risk mitigation strategies and draft related terms and conditions, legal disclaimers and governing policies.

Provide thought partnership and assist as needed on corporate transactions, intellectual property matters, privacy, employment law, compliance, litigation and any other legal matters that may arise.

Work with internal business clients to develop and implement best practices, processes and internal resources, such as playbooks, FAQs, trainings and presentations, to support business objectives.

Streamline contract management process, develop trackers to ensure 100% compliance safeguarding the company from potential contractual risks.

Assist with implementation of contract management tools and management of contract management processes and procedures on a go forward basis.

Hire and Develop the best talents to create a high performing Legal and Compliance team.

Must Haves

8+ years experience post qualification, experience in a startup set-up is a plus.

In-depth knowledge of corporate laws, Indian regulations, and other applicable statutes.

Experience with the fund raise / IPO or pre-IPO process, and related corporate governance and compliance practices.

Familiarity with a broad range of corporate and business laws.

Sound business judgement, highly organized and able to work effectively in a fast-paced and constantly evolving environment.

Demonstrated ability to proactively identify and analyze potential legal issues and provide thoughtful, pragmatic and business-oriented legal advice and solutions.

Excellent written and verbal communication skills with a strong ability to clearly and concisely convey complex concepts and recommendations.

Highly collaborative with a strong ability to build relationships, gain credibility and partner across functions to build consensus.

Comfort working in a start-up organization.

Experience in negotiating agreements with clients and vendors.

Excellent interpersonal skill and expertise in leading a team.

LL.B. Degree from a recognized university in India & qualified Company Secretary (ICSI).

CTC- 15 LPA to 20 LPA
