Role Overview:
Assisting the Manager – Legal on Simpliwork’s legal and compliance activities.
Key Responsibilities:
Negotiation of commercial lease deeds and leave and licenses for various domestic landlords. Drafting and negotiation of commercial sub-lease deeds and service agreements for domestic and international tenants, advising on stamp duty implications, and closing transactions including registration process;
Drafting and negotiation of documents ancillary to lease deeds including but not limited to LOI, assignment agreement, amendment, termination, surrender, renewal, handover letter, assignment, side letter, extension letter, common area maintenance agreement, etc.;
Reviewing and modifying standard lease documentation to reflect new requirements;
Drafting and negotiation of other documents like fit-out agreements, power of attorneys, board resolutions, non-disclosure agreements, escrow agreements, manpower agreements, etc.;
Assist and co-ordinate with external counsel on due diligence reports;
Tracking all legal notices, ongoing litigation, and regulatory proceedings against Simpliwork and its assets; coordinating with stakeholders and external counsel with respect to the same;
Keeps abreast of and inform management on relevant developments in real estate, such as court rulings or legislative amendments;
Co-ordinate with various departments within Simpliwork and functions within Simpliwork to provide effective services to clients and business partners; and
Reviewing legal queries raised by various stakeholders and preparing responses. Coordinating with external counsel where necessary for preparing the responses.
Qualifications and Work Experience:
Law graduate from a top-tier university with at least 2 – 3 years of law firm experience or in-house relevant experience or at real estate focused firms/corporations;
Exposure of having undertaken legal due diligence review;
In-depth knowledge and competence in legal drafting, research, and negotiation in commercial transactions;
Ability to function autonomously and communicate with the management with ease;
Strong interest in real-estate ecosystems along with the ability to track and keep abreast of the changing regulatory landscape. High motivation, are creative and laser-focused on the details; and
Ability to juggle simultaneous transactions with a quick turnaround time.
Knowledge, Skills, and Competencies:

Ability to prioritize and manage multiple tasks;
Proficiency in MS Office, Excel and other relevant tools;
Awareness and understanding of legal and regulatory aspects;
