Role: Senior Manager Contracts
Location: Pune
Qualifications: Engineering Graduate: MBA/LLB (LLB preferred but not essential)
Experience: 8- 10 yrs. exp. in contracts management in EPC projects of Oil Gas companies
Roles And Responsibilities
Contracts Management:
Read, Interpret and analyse all bid documents, Contract documents with amendment there to contractually vet the clauses to identify risks from contractors' point of view
Raise claims for tasks executed and extra claims with variation orders
Frame replies and correspondences by using appropriate techno commercial legal terminologies
Draft correspondences for any deductions/penalties in the amount paid by client to the company
Coordinate with stakeholders to monitor contractual compliance
Facilitate adjudication processes to resolve contract disputes effectively
Claims Management, Dispute Resolution and Contractual Closure
Identify and prepare all types of claims, ensuring submission to clients/subcontractors and seeking acceptance/approval
Manage dispute resolution including delay analysis and claim quantification
Analyse disputes with clients and subcontractors, safeguarding the company's
Interests and substantiating claims
Ensure effective closure of contracts in compliance with terms conditions of contracts
Support buyers for dispute contract management in their respective purchase activities
Manage all arbitrations other forms of dispute resolution processes by coordinating with supporting advocates legal consultants
Subcontract Management
Act as the custodian for subcontractor contracts for all types of works services activities
Strong commercial acumen and a good understanding of commercial contract management, particularly for EPC in Oil Gas Industry
Check verify the bills/invoices and compare the same against actual job done
Draft contractual correspondence and ensure timely communication
Coordinate with Stakeholders to monitor contractual compliance. Oversee all aspects of subcontract management
Develop and implement strategies for subcontractor selection, negotiation, and performance evaluation
Ensure compliance with subcontract terms and conditions. Review and approve subcontract agreements and amendments
Provide guidance and support to internal teams on subcontract-related matters
Monitor subcontractor performance against contractual obligations
Extensive knowledge of material acquisition policies
Manage supplier performance, interactions, communications, and relationships
Provide guidance and leadership on contract related matters to cross- functional project team members
Ensure the requirements are met with proper analysis as per the contract i.e.material quantity/ sizing/ specification etc
Manage variation orders to ensure contractual compliance and project scope adjustments
Conduct thorough Bill of Quantities (BOQ) analysis for accurate project cost estimation
Qualify and analyze rates to optimize subcontractor agreements
Coordinate purchase orders and requisitions for seamless procurement
Manage subcontractors' invoices to ensure timely and accurate payments
Collaborate with accounts and projects team on Bank Guarantee, Performance
Guarantee, and timely disbursement of subcontractor payments
Responsible for checking sub-contractors' agreement deducting any additional costs invoiced against actual work done
Tendering Support:Assess contracts during tendering processes
Preparing contract appreciation documents
Identifying key risks and opportunities, clarifications and deviations
Skills
Good communication with excellent negotiation skills
Understanding of different types of Contracts Law of Contracts
Must have experience in pre-contract and post contract activities
Strong documentation skills
Self-driven, focused, results and quality oriented
Knowledge Experience with the subcontract procurement of specialized materials and equipment, their components or sub-components
Demonstrate understanding of different types of contracts and the law of contracts
