Position: Company Secretary - Legal and Compliance(From Tyre Manufacturing)

Qualification: CS,LLB

Experience: 4 to 6 years

Location: Mumbai(Lower Parel)

JOB DESCRIPTION:

Duties and Responsibilities

Secretarial Function:

Overseeing and managing all Secretarial compliances of the Company and group entities,

including but not limited to:

1. Assisting and drafting for complying with all the applicable corporate secretarial

matters related to Board meeting AGMS, EGMS ROC, RBI, FDI and such other regulators

as per the Companies Act 2013.

2. Liaise with Regulatory departments including MCA, ROC, NSDL/ CDSL, Banks, Stock

Exchanges, SEBI and external regulators and advisers such as lawyers, banks and

auditors.

3. Maintaining in all completeness the statutory records, books, registers and timely

compliance of all statutory corporate secretarial and governance filings and reporting.

4. Drafting agendas, notices, Minutes and convening Board Meetings, shareholding

meetings, or committee meetings of the Company.

5. Preparing and circulating draft secretarial documents for investors and other related

parties ;

6. Assistance in transaction support on cross-border transactional issues while adhering to

FEMA, RBI, and FDI regulations.

7. Assisting in transaction supports like legal due diligence, fund raise activities, Banking

Documentation, strategic activities and supporting closure of transactional document

etc , others w.r.t to mergers, amalgamation etc

8. Assist other group entities across the globe in secretarial and regulatory compliances.

9. Handle correspondences, collate information, Maintain and manage Stakeholder

Relations and communications

10. Assitance to keep up with the transaction agreements such as SPA, SSA, SHA, term

sheets, debt-financing documents and all other similar transaction documents

Legal

1. Assisting in Drafting , reviewing , and negotiating various types of agreements, like

Non-Disclosure Agreements (NDAs), Customer Contracts, Vendor Contracts, etc.

2. Preparation and negotiation of contracts and leading in managing and resolving

contractual disputes and other contentious issues to a satisfactory conclusion

3. Work closely with internal stakeholders including research, commercial and

finance teams to ensure contract terms align with organizational objectives and

operational needs.

4. Assisting in ensuring that all contracts comply with applicable laws, regulations,

and company policies and are archived in the companys database

5. Maintain accurate and up-to-date records of all contracts and related documents

in the company's contract management system and manage the repository.

6. Assisting in IPR management of the company like IPR lifecycle from Application

through execution and renewal, ensuring compliance with company IPR policies

and requirements.

Compliance Management

1. Assisting in overall compliances of the Company including group entities with all

applicable laws, regulations, and guidelines related to company operations.

2. Monitor and report changes in relevant laws and regulations to senior management and

board of directors;

3. Draft and maintain and update company policies, procedures, corporate governance

standards and best practices to ensure compliance and good corporate governance;

Job requirements:

1. Qualified Company Secretary with LLB degree or equivalent corporate law certification

would be an added advantage.

2. At least 4-6 years of post-qualification work experience in Corporate secretarial, Legal

and transactions.

3. Having good drafting skill and competencies in corporate and commercial laws such as

Companies Act, LLP Act, IBC, FEMA, FDI, SEBI, and other relevant regulations,

4. Ability to prioritize multiple projects under strict deadlines and ability to multi-task and

handle highly confidential information.

5. String knowledge in Regulatory Framework

6. Proficient in Microsoft Office applications (MS Word, MS Excel, MS PowerPoint);

7. Self-starter with strong project management, analytical and organizational skills.

8. Strong verbal and written communication, interpersonal and presentation skills to

effectively work with the team.

9. Demonstrated enthusiasm and willingness to learn, Diligent and meticulous,

Collaborative, Knowledge of general corporate formalities and corporate secretary

requirements;

10. Strong interpersonal skills and diplomatic.
