About the Company:
Intellect Design Arena Limited, a listed BFSI software product company with a global footprint, is looking for an experience in-house senior legal counsel to join us in Gurgaon/ Chennai. In this role, the individual will report to General Counsel and work within the flat legal team to support Intellect’s customer and partner transactions and business development activities in structuring, negotiating, and closing contracts. The individual will also be responsible for dayto day legal and corporate advisory functions within the organization.
About the Role:
The position can be based in Chennai/ Gurgaon/ Mumbai and will report to the Head Legal. The position will be responsible to handle all legal, contractual and regulatory matters for the Company and will also be closely aligned and be required to interface regularly with the relevant business heads, procurement & sales stakeholders and all other support functions.
Responsibilities:
Significant, sophisticated experience in: domestic and international contract drafting and negotiations based on varied business models with customers, vendors and partners (Software License Agreements, Customization & Implementation Agreement, Maintenance Agreements, Cloud Hosting Agreements, SAAS, Software marketplace framework, Partner Agreements, Consortium, Joint Venture, Teaming Agreements, Reseller and Distribution Agreements, NDA’s, Software development and co-creation arrangements, service agreements, data protection agreements, etc.)
Role involves negotiations directly with the clients and their attorneys and requires close interaction with the various departments of Intellect including the business, sales, finance and delivery teams
Prepare responses on the contract terms for high value Request for Proposals (RFP) and identifying and articulating the legal and business risks
Work closely with all functional groups, other corporate departments and within the global business sales/pre-sales teams while providing legal advisory to the assigned business units.
Knowledge and understanding of global privacy and data security laws, general IP and technology licensing matters, and compliance.
A keen interest and understanding of software and technology in general is essential.
Basic understanding or interest in the principles of Design Thinking is essential.
Reviews, interprets and counsels on relevant local laws, court rulings, policies and practices.
Experienced in post contractual dispute management
Ability to collaborate and engage with external counsel as and when required
Ability to effectively communicate and engage with all other legal team members in independently managing an assigned or dynamic territory or business division, for providing end to end legal services.
Ability to effectively strategize and communicate risk, mitigation and options to the business stakeholders and to ensure informed decision making.
Qualifications:
Law Graduate (LL.B /LL.M.) from a renowned Law School of repute in India and abroad
Required Skills:
Between 8 to 10 years of relevant PQE
Experience in the IT products sector is preferred
Experience in other technology sectors will also be relevant
Experienced in working independently and directly with (internal and/or external) customers in negotiating and closing complex and high value deals is essential
Must have experience in providing legal support on a global scale- specifically United States, Middle East, the European Union and Asia Pacific region;
Excellent written and verbal communication skills
