Position Summary:
This position serves a team member of the in-house legal team of Bennett Coleman and reports to VP-Legal (Corporate). The role requires the incumbent to support the VP- Legal in all matters to drive and execute legal strategy and deliverables in alignment with the wider goals of the organization and partnering with business and functional teams to support business growth the related thereto. The role requires a driven lawyer with experience in litigation/arbitration, corporate drafting, transactional contracts/structure & documentation, intellectual property laws, company law and corporate laws with commercial acumen and flair for collaborating with business teams.
Responsibilities:
Handling litigations before NCLT, NCLAT, High Courts, Trial courts and other fora and arbitrations
Support and advise on varied issues relating to company law and corporate laws, regulatory matters including FEMA, PMLA and FDI.
Draft and review broad range of commercial agreements, NDA’s, Term sheets, Share Purchase and Share Subscription Agreements, Shareholder Agreements, Lease Agreements, Supply and Sales agreements etc. and other legal documents for corporate transactions.
Advise related to Intellectual Property laws and processes, Property laws
Manage litigation matters & appear before various fora, dispute resolution, and any investigation and enquiries related to the business operations
Engage and coordinate with external lawyers and firms
Contract management
Maintain and manage legal repository and ensure proper documentation of legal decisions and actions taken
Support various functions on general legal and compliance matters and strategic matters
Keep abreast of legislative trends
Qualification
Qualified LL.B. from a premium institute
At least 4-7 years of combined practice (law firm) and industry (large corporate entity)
Functional Competencies
Domain knowledge of corporate laws / company law / intellectual property laws/data privacy laws/ conceptual understanding of deal terms/M&A/contract laws/litigation and exposure to court procedures in India
