Role Overview

We are seeking an experienced and strategic Head of Legal Strategy & Operations to lead and manage the legal functions of Artha Group. This role will focus on negotiating, drafting, and managing vital legal documents such as Shareholder Agreements (SHAs), Share Purchase Agreements (SPAs), Subscription Agreements (SSAs), employment agreements, and Articles of Association. The role also involves managing litigation, intellectual property matters, and external corporate counsel relationships. The Head of Legal Strategy & Operations will also implement and manage a contract lifecycle management system to ensure efficiency and compliance across all legal processes.

This role is pivotal in ensuring that Artha Group’s legal needs are met with the highest standards of excellence, supporting the company’s strategic goals, and maintaining compliance across our various business ventures.

Key Responsibilities

Contract Management:

Negotiate, draft, and amend SHAs, SPAs, SSAs, NDAs, employment agreements, PPMs, and Articles of Association.

Implement and manage a contract lifecycle management (CLM) system to streamline the handling, execution, and renewal of contracts.

Ensure all contracts align with legal standards and business objectives.

Litigation And Dispute Resolution

Manage legal disputes, prosecute and defend cases, and protect the company’s interests.

Oversee the development and execution of litigation strategies in collaboration with external counsel.

Intellectual Property Management

Oversee the management of the company’s intellectual property portfolio, including trademarks and patents.

Address potential IP infringement issues and work with external counsel as necessary.

Team Leadership

Build and lead a legal team that supports internal operations and manages external legal engagements.

Develop the team to manage the contract lifecycle and other legal responsibilities effectively.

Strategic Legal Guidance

Provide legal advice to the executive team on critical matters, including corporate governance, compliance, and risk management.

Participate in strategic planning to ensure legal considerations are integrated into business decisions.

External Counsel Management

Manage relationships with external legal advisors, ensuring alignment with the company’s strategic goals.

Oversee the use of retainers and ensure cost-effective use of external legal resources.

Compliance And Corporate Governance

Collaborate with the compliance team to ensure full compliance with applicable laws and regulations.

Provide strategic advice on corporate governance and assist in preparing and managing board and shareholder meetings.

Qualifications

Education: Law degree from a reputed institution and admission to the bar. A Company Secretary (CS) degree is a plus and may be required depending on the candidate’s overall qualifications and experience.

Experience: 10 years of experience in legal practice, ideally with experience in law firm and in-house environments, focusing on corporate law, contracts, litigation, and contract lifecycle management.

Legal Expertise: Deep knowledge of contract law, intellectual property, and dispute resolution.

Strategic Thinking: Ability to align legal strategies with business objectives.

Leadership: Proven experience in building and leading legal teams.

Contract Lifecycle Management: Proficiency in implementing and managing CLM systems.

Communication: Excellent verbal and written communication skills, with the ability to influence senior stakeholders.

Tech-Savvy: Proficiency in using legal technology tools to streamline legal operations.

Compensation

CTC: ₹33 lakhs per annum (₹30 lakhs paid monthly + ₹3 lakhs annual confirmed bonus).

Performance Bonus: Additional performance-based bonuses for top-tier performance.

ESOP and Carry Participation: Eligibility for ESOP and participation in the carry pool after a 12-month cliff.
