Job Title: Corporate Legal Specialist - Corporate DraftingJob Overview:

The Corporate Legal Specialist will assist the legal department with the drafting, reviewing, and revising of various corporate legal documents. This role will ensure compliance with legal standards and contribute to the governance and operational framework of the company. The specialist will collaborate closely with in-house counsel, external law firms, and various business units to provide legal support on a variety of corporate matters.

Key Responsibilities:

Drafting and Reviewing Legal Documents: Prepare, review, and revise corporate legal documents such as contracts, agreements, resolutions, policies, NDAs, board minutes, and other governance-related materials.

Corporate Governance: Support the legal team in maintaining corporate governance frameworks, including drafting and maintaining bylaws, corporate charters, and board documents.

Compliance and Regulatory Matters: Assist with compliance efforts by drafting documentation that meets legal and regulatory requirements. Stay updated on corporate law regulations affecting the business.

Legal Research and Analysis: Conduct legal research on various corporate law matters to support the company’s operations and ensure compliance with relevant laws and regulations.

Contract Management: Oversee contract management processes, including ensuring timely renewals, tracking obligations, and assisting in negotiations where necessary.

Mergers and Acquisitions Support: Assist with legal due diligence, drafting M&A agreements, and coordinating with external counsel during corporate transactions.

Policy and Procedure Development: Draft internal corporate policies and procedures that align with industry best practices and legal requirements.

Litigation Support: Collaborate with the litigation team by providing corporate documentation and drafting support in legal disputes and regulatory investigations.

Stakeholder Communication: Liaise with internal and external stakeholders, including executives, board members, and external counsel, to ensure smooth legal operations.

Qualifications:

Education: Bachelor’s degree in law, paralegal studies, or a related field. A Juris Doctor (JD) is a plus.

Experience: 3-5 years of experience in corporate legal drafting, corporate governance, or as a paralegal/legal assistant in a corporate setting.

Skills:

Strong legal drafting and document review skills.

In-depth knowledge of corporate law, governance, and regulatory compliance.

Excellent communication and interpersonal skills.

Strong attention to detail and organizational abilities.

Ability to work independently and in a team environment.

Proficiency in legal research tools and contract management software.

Additional Requirements:

Familiarity with industry-specific regulations or experience in specific sectors (e.g., finance, technology) may be preferred.

Capacity to manage multiple projects simultaneously with accuracy and efficiency.

Work Environment:

Corporate office environment, with the possibility of remote work depending on the company’s policies.
