Key Responsibilities
Provide legal advice and support for all aspects of merchant banking activities, including IPOs, FPOs, rights issues, and private placements.
Ensure compliance with SEBI regulations, including SEBI ICDR, LODR, and other relevant regulations.
Draft, review, and negotiate legal documents such as offer documents, contracts, and agreements.
Liaise with regulatory authorities like SEBI, Stock Exchanges, and other statutory bodies for obtaining necessary approvals.
Manage legal due diligence processes for clients and transactions.
Oversee the resolution of legal disputes, litigation, and arbitration related to merchant banking activities.
Stay updated on the latest legal developments affecting the merchant banking industry.
Collaborate with internal teams, including Equity Capital Markets, to ensure seamless execution of transactions.
Provide training and guidance to junior legal team members.
Qualifications
Bachelor's degree in Law (LLB) from a recognized university (LLM or additional qualifications like CS, CA, or MBA preferred).
5+ years of experience in legal roles within the financial services or investment banking sector.
In-depth knowledge of SEBI regulations, including SEBI ICDR, and experience in handling IPOs and capital market transactions.
Strong understanding of corporate and securities law.
