Supporting Actions

Responsible for ensuring compliance of all applicable laws and regulations

Ensuring compliance with all applicable laws throughout the organization

Obtain and maintain all required licenses/ certification as per regulations relevant for new entity set-up

Creating and maintaining a framework to manage litigation and non-litigation matters in a cost effective and risk aversive manner and taking required proactive steps in this direction

Ensure creation of standard operating practices and standard templates to reduce person dependency and to ensure continuity in operations

Periodic review of key company policies and documents having external interface to ensure plugging of legal loopholes, if any

To ensure adequate and effective mechanisms are out in place to ensure protection of the company brand and logo including trademarks and copyrights

Minimizing risks and proactively protecting the Company's legal privileges and interests

Statutory interpretation wherever there is a dead lock on any legal provision

Appraise the leadership team about legal impact and coordinate with Senior Counsels and Solicitors and obtain external opinions on need basis.

Ensure that the entire team works within the statutory framework and timelines

Facilitate Product Management and Sign Offs

Provide inputs from legal perspective so that customer interest is adequately protected while distributing products

Advising Board and Management on Corporate Laws, RBI regulations, NPCI regulations, IRDA regulations and Corporate Governance Guidelines

Keeping Board and Management updated on the applicability of the provisions of all relevant laws and regulations

Monitoring changes in relevant legislation, regulations affecting the Company, preparing suitable MIS and taking appropriate action, if required

Create, maintain and implement a comprehensive sales compliance & market conduct architecture that aims at mitigating risks pertaining to frauds/mis-selling & other market conduct and sales issues.

Create and enforce a strong consequence management system to ensure timely resolution of grievances in line with regulatory expectations and thereby acting as a business enabler

Facilitate changes to the approach and processes on the sales front through highlighting concerns/lapses arising from non-compliant and unethical sales practices

Create maintain and implement strong guidelines & framework based on Fraud and Whistle-blower Policies for conducting effective and timely investigations and resolutions and actions, including criminal actions thereafter

Effective supervision to ensure detailed compliance reviews are completed and reported

Monitor and Review actionables to minimize the repeated gaps in sales compliance of the findings submitted by the respective zones / compliance representative post the branch review and ensure that the same is timely submitted to the top management.

Corporate Secretarial Responsibilities

Serve as the custodian of corporate records, statutory books and registers, ensuring timely completion of all process formalities (filing of forms, returns; finalization of minutes, notices, agenda, registers; etc.) in line with legal and corporate governance practices

Co-ordinate board/ general meetings, including drafting and preparing Notices, Agenda, Minutes, Resolutions for the Board, Shareholders/ Committee Meetings, etc. and follow-up actions thereof
