About The Position

Accolite Digital is looking for a Legal Counsel – Commercial and Operations to join our small but mighty Legal team. Reporting to Deputy General Counsel, the Senior Counsel will be responsible for many day-to-day legal issues facing the company. This individual will frequently interact with the Sales and Business Development teams, as well as with members of the Delivery, Finance, HR, Marketing and Security teams. The ideal candidate will leverage his or her experience as a seasoned transactional attorney to draft, review, and negotiate complex agreements and to provide clear and effective legal advice to the business. The ideal candidate will also help build process for improvement and efficiency of legal operations. Prior experience in technology services counseling and an understanding of current IP and data-related issues is strongly preferred.

In This Role, You'll

Review, draft, and negotiate a wide variety of commercial agreements and amendments, including master services, licensing, professional services, marketing, partnership and vendor agreements;

Support the Deputy General Counsel in critical initiatives to evolve and improve legal processes and procedures;

Identify legal and regulatory issues in service or product offering initiatives and customer agreements, including awareness of privacy and data security issues, and working cross-functionally with the appropriate teams to create solutions and minimize risk;

Engage strategically in risk assessment/mitigation and developing innovative approaches to legal issues in support of business objectives;

Provide practical and creative legal advice on a broad range of topics in a fast-paced, high growth environment;

Work closely with the teams charged with generating business and proactively establishing relationships across the legal team and with other departmental leads and key contributors; and

Assisting with corporate, M&A, and other legal matters as requested.

Lead and manage legal due diligence for mergers, acquisitions, divestitures, joint ventures, and other strategic corporate transactions.

Provide legal support throughout the M&A process, including drafting and negotiating transaction documents, managing external legal counsel, and ensuring regulatory compliance.

Ensure the company’s adherence to regulatory requirements, including those related to environmental, health, and safety, anti-bribery and corruption, and data protection laws.

Identify, assess, and mitigate legal risks associated with the company’s operations and strategic initiatives.

Develop and implement policies and procedures to manage legal risks effectively.

Build and maintain strong relationships with internal and external stakeholders, including regulators, external counsel, and industry associations.

Represent the company in negotiations and at industry forums as required.

What You'll Need

10+ years of legal experience, preferably with experience being part of an in-house legal department and working remotely with distributed teams;

Strong academic credentials;

Experience in developing and implementing process improvement initiatives;

Experience drafting and negotiating complex commercial agreements, including complex master services agreements, statements of work and certain licensing agreements (data licensing, SaaS agreements, etc.), as well as data transfer agreements;

Business judgment and ability to assess legal risk while providing practical advice;

Highly detail-oriented, reliable, responsive and organized self-starter with the ability to thrive and perform at a high level in a remote environment with minimal oversight;

Ability to act as a legal advisor and partner, providing insight and advice in conversations with the sales and business development teams;

A team-player mindset with the ability to work collaboratively across various functions and with colleagues at all levels;

Proven resourcefulness with solid problem-solving and communication skills and demonstrated ability to learn quickly and dive into a wide variety of challenging tasks;

Growth mindset with a strong desire to grow professionally, upskill, learn about new products, technologies and processes, and remain agile and adaptable; and

Enthusiastic team member who enjoys taking ownership of projects, building relationships cross-functionally and working on cutting-edge legal issues.

Additional Preferred Qualifications

Familiarity with technology, IP and/or privacy is a plus;

Proficiency with CLM and CRM solutions, such as IronClad, Salesforce, DocuSign, Box or similar;

Experience in a technology and/or start-up company environment; and

Experience with international commercial transactions.
