Summary Description

Legal support for India, Middle East and South East Asia (“Jurisdictions”), on matters involving commercial contracts, corporate governance, market access/public tenders, compliance, HR, etc.

Coordinate with corporate functions such as Compliance, Regulatory, Marketing and Sales, Professional Education, Customer Service, Service and Repair

Legal analysis and advice in commercial, distribution and agency laws, promotional and professional education regulations for medical devices and other areas of law from time to time (such as employment laws and corporate laws).

Legal Documents reviews, drafting and negotiating.

Legal support for disputes, claims, government inquiries and litigations.

Knows, understands and commits to respecting the INTEGRA corporate values, code of conduct, policies and procedures.

Assists in any other matter that the General Counsel of International may require

Under direct supervision of General Counsel, International.

Essential Duties And Responsibilities

Provide legal analysis, advice and support for the Sales and Marketing and other functional departments for India, Middle-East and South East Asia (SEA)

Legal document reviews, drafting and negotiation such as end-customer/hospital group/GPO agreements/tenders, distributor agreements, vendor agreements (consulting, distribution, agency, supply, purchase), non-disclosure, sponsorship, grant, research support, loans/donations to hospitals/clinics, consignment, maintenance, termination, settlement, manufacturing agreements…)

Review of certificates and documents requested by distributors/end customers

Create and revise template agreements and standard forms from corporate standards with local jurisdictional changes

Legal review of PMAP (promotional materials approval process)

Corporate governance support for local entities, coordinating with Corporate paralegal and Tax/Finance to complete annual filings, meeting minutes, resolutions

Legal review and analysis of projects such as Marketing or Professional Education projects (in particular websites, social media, digital projects, product launches and discontinuations)

Review and revise policies, work instructions and processes for contracting, HR, Compliance, to fit local jurisdictions

Analysis of compliance issues, particularly with healthcare professionals, payments to or by third parties (when representing Integra)

Contribute to audit related tasks including follow up implementation of changes.

Support global Law Department on cross-departmental projects

Provide trainings to the business and functional departments

Contribute to updating sharepoint site, other digital systems and support implementation and update of contract management system and other systems

Travel, domestically and internationally, as may be necessary to fulfill these responsibilities

Desired Minimum Qualifications

Education: Law Degree and fully licensed (AIBE)

Type and Number Years of Experience: minimum 5 years in a law firm or corporate law department setting preferably in medical device/pharmaceutical industry and experience with commercial contracts (distributor, sales, license, agency, services) in India, Middle-East and South East Asia (SEA)

Language skills: English fluent (written and verbal), preferably Hindi and other SE Asia languages.

Computer Skills: Proficient in MS Office suite (Word, Excel, PowerPoint, Outlook, Teams). Database management skills preferred.

Other Skills: Excellent communication and analytical skills. Able to understand business context, readily identify risk and apply available resources to mitigate risk. Drafting contracts and written communication to be clear, concise and effective. Highly organized and detail oriented, able to prioritize and manage multiple tasks; team player, able to work across global organization in high energy and fast paced environment; work independently and proactively handle issues and engage colleagues; eager to learn and apply new information, skills and procedures; must be adaptable to a changing environment and business objectives.
