Inviting applications for the role of Senior Manager, Legal Counsel
We are seeking an energetic and pragmatic attorney with relevant years of experience to join
our Legal team. Candidate must be detail-oriented and an excellent communicator, with
an ability to exercise independent judgment and juggle multiple projects effectively.
Must be an active member in good standing of at least one state’s bar. Prior experience
working for a global software company or other international experience is a plus.
Responsibilities
Drafting and negotiation of client agreements for third-party software, as well as
corresponding agreements with the third parties necessary for the transfer of
software.
Drafting and negotiation of agreements with both clients and third parties for
services where Genpact can be either the prime contractor or subcontractor.
Structuring, drafting, and negotiating teaming, partner, referral, master reciprocal
subcontracting, or other vendor agreements.
Drafting and negotiation of reseller agreements, OEM, and embedded technology
agreements in connection with our partnership program, including agreements for
software and other non-IT vendors.
Working cross-functionally with company teams such as information security,
finance, vendor governance, and compliance to verify that contract terms are
compliant with company policies and to manage risk.
Responsible for adherence to the company’s contract management system, to
prevent illegal, unethical, or improper conduct and to ensure compliance with the
industry standards, state laws and federal regulations.
Consults with senior attorney(s) as needed to resolve difficult legal and compliance
issues.
Key Traits
Ability to think strategically and manage multiple agreements for a single
transaction.
Detail oriented.
Ability to manage multiple urgent priorities.
Experience with identifying and mitigating legal and operational risks related to
alliance partners, vendors, and resellers. Experience with service offerings utilizing
technology (i.e., mobile applications, cloud, SAAS and web-based client platforms)
including business-to-business transactions and data privacy best practices.
Experience driving a strong compliance culture that involves monitoring high risk
areas and associated legal and operating requirements.
Excellent, self-starting, organizational and project management skills with
experience in coordinating multi-task responsibilities and projects.
Excellent decision-making and execution skills.
Solution-oriented with excellent communications skills.
Qualifications
Minimum Qualifications:
Law degree from top Indian law school.
Must be licensed to practice law in India and be an active member in good standing of the
Indian Bar.
Ability to effectively communicate internally and externally with stakeholders.
Prior experience working for a global company or other international experience
and working with partner/alliance related documents.
Preferred Qualifications
Highly organized, deadline driven, problem solver.
Experience negotiating software sales, including resale of software.
Experience with subcontracting services.
Proven track record of providing sound, actionable legal advice in regulated
industries with business and corporate objectives in mind.
Self-starter comfortable with managing through some ambiguity, pro-actively
reaching out and identifying areas to be strengthened and following up with strong
execution.
Strong verbal and written communication skills in achieving effective relationships
and motivating others.
Concise, direct communication and active knowledge-sharing skills.
