Job description

Secretarial:

Conducting and managing various meetings of boards, general meetings of shareholders, committees and management bodies; preparing the agendas and minutes of such meetings within strict time periods / requirements under Companies Act.

Maintenance of all Statutory registers, books and documents required under Companies Act, FEMA and other Corporate Laws.

Monitoring and managing all Statutory Compliances prescribed under Companies Act, FEMA, and also by RBI and ensuring their timely completion and filing within the prescribed timelines.

Advice to Board Directors, CEOs and Senior Managers of the organization on corporate governance and compliance matters.

Legal

Reviewing all property related documents, and preparation of Title / Legal Diligence report for all properties and monitor legal risk in real estate documentation and advise accordingly.

Drafting, reviewing, and negotiating of all real estate commercial agreements, leases, leave and license agreements etc.

Ensuring timely registrations of all property related leases, leave and license agreements and other property related documents.

Managing and maintaining all Property Documents, leases, leave and license agreements and Records (including Pre-Registration and post registration).

Reviewing of tender documents, contract documents, bids for risk analysis and suggest mitigation steps and respond accordingly

Legal drafting of all agreements, including transaction-related agreements / deeds / GPAs /, notices, legal replies, etc. as required from time to time.

Requisite skills:

Should be excellent in drafting, planning, strategizing and execution of all Legal Activities.

Should be capable of managing all suits, disputes, police matters, recovery proceedings.

Capable of handling both Non-Litigation and Litigation matters.

Should be capable of offering such other legal support as may be required by the Management / organization.
