Position- Legal & Compliance Officer
Responsibilities Strategic:
Drafting, negotiating and reviewing various agreements, commercial contracts and other legal
documents
Draft and manage agreements involving IP, including license agreements, manufacturing agreements, and supply agreements. Advice and counsel clients on matters related to intellectual property, including patents, trademarks, and copyrights. Draft, file and prosecute patent applications on behalf of University.
Provide legal counsel and guidance to the officers of the institution on all legal matters relevant to a private institution, including personnel law, policies, procedures, rules, and regulations, and laws pertaining to students, contracts and grants, tax matters, worker's compensation, liability and
insurance matters, affirmative action, and other laws and regulations.
Updating existing internal policies and formulating and implementing new regulations or policies as necessary.
Drafting, reviewing and finalizing necessary briefs, notices, replies, RTIs and policy documents
Draft and review Tender documents, MOAs / MoUs, and other legal documents, as may be required on behalf of the University and shall ensure that legal documents
University's policies and objectives Compliance:
Identify critical personnel, regulatory reporting dates, and compliance issues
Performs compliance and internal audits in accordance with the annual audit plans
Creates and maintains records of all reports of suspected compliance violations
Develops and periodically reviews and revises University-wide compliance audit and internal risk
assessments and audit plans
Advising internal management and business partners on the implementation of compliance programs
In depth understanding of drafting and vetting of agreements. Statutory /Regulatory Compliance
Management
Develop assessment tools and system to rate compliance risks
Central repository for compliance-related documents
Provide regular status reports to senior leadership, Institutional Risk Committee, and the Audit, Risk, and Compliance Committee
Ensuring the program includes effective monitoring that prevents accidental or intentional
noncompliance with applicable laws and regulatory requirements; detecting such noncompliance;
when it occurs, ensuring that the noncompliant behaviour is appropriately addressed; and, preventing future noncompliance
Managing internal legal processes and monitoring regulatory compliance
Other responsibilities:
Articulate the verification processes and single points accountable for regulatory reports at the country, State, and Local levels
Identify, assess risks, mitigate and facilitate gap closures
Giving accurate and timely legal advice on a variety of legal topics
Managing the University’s litigation, coordinating with external legal counsel and devising appropriate legal strategies.
Providing clarifications on legal language or applicable law
Act as member representing the Sexual Harassment Team / POSH Committee.
