Job Profile:

The company secretary is a strategic position of considerable influence at the heart of governance operations within an organization. Governance describes the way that an organization is directed and controlled, which includes a company’s strategy and decision-making, how it achieves its aims, and ensuring that all activities comply with legal, ethical, and regulatory requirements. Company secretaries have a broad skill set – corporate law, finance, governance, strategy, and corporate secretarial practice – and they advise a company’s board in these key areas, providing support to the Chair, Directors, CEO, and non-executive Directors.

The role of a Company Secretary has evolved over the years to a high-ranking officer of the company with extensive responsibilities. Now regarded as the ‘guardian’ of the Company’s compliance with laws, regulations, corporate governance, and ethics to ensure the effective corporate governance framework as required by regulators, investors, and other stakeholders.

The Company Secretary at Wingify will independently handle all company secretarial functions of the company and its affiliated entities.

Duties and Responsibilities:

A Company Secretary being multidisciplinary will render the following services:

Corporate Governance and Secretarial Services:

Advising on good governance practices and compliance of Corporate Governance norms as prescribed under various Corporate, Securities, and Other Business Laws and regulations and guidelines.

Assists in developing and managing a corporate and social sustainability/responsibility framework.

Handles the promotion, formation, and incorporation of companies and matters related therewith.

Responsible for filing, and registering any document including forms, returns, and applications by and on behalf of the company as an authorized representative.

Coordinate the board/general meetings and follow-up actions thereof.

Manages all tasks relating to Securities and their transfer and transmission.

Acts as the custodian of corporate records, statutory books, and registers.

Manages the Secretarial/Compliance Audit across the enterprise.

Signing of Annual Return where necessary and responsible for other declarations, attestations, and certifications under the Companies Act, 1956.

Corporate Laws Advisory and Representation Services:

Advises Wingify on compliance of legal and procedural aspects under various corporate laws and acts particularly relating to Securities and Exchange Board, Foreign Exchange, Consumer Protection, Environment, Labor, Mergers and Acquisitions, Foreign Collaborations and JV’s, subsidiaries, and Competition.

Responsible to represent Wingify and other connected persons before various boards and forums including but not limited to Company Law Board, SEBI, Registrar of Companies, Tax Tribunals, Consumer Forums, and Other quasi-judicial bodies and Tribunals.

Arbitration and Conciliation Services:

Advises the company on arbitration, negotiation, and conciliation in commercial disputes between various parties.

Acts as arbitrator/conciliator in domestic and international commercial disputes.

Drafts Arbitration/Conciliation Agreement/Clause.

Acts as Advisor/consultant/Manager in an issue of shares, ESOP’s, and other securities to employees and others in India and abroad.

Financial Markets Services:

Not immediately but possibly involved in Public Issue, Listing and Securities Management depending on Company Strategy.

Responsible for compliance with rules and regulations in the securities market.

Other Duties:

Participate and assist Banking Services, Finance, and Accounting Services, Taxation Services, Information Technology.

End-to-end management of the company’s trademark, copyrights, and other intellectual property rights across the World.

Will also assist, participate, and partner with internal and external stakeholders in areas of Corporate Social Responsibility.

Communication with various stakeholders, like Shareholders, Government, Regulators, Authorities, etc.

Industrial and labor law – Awareness, Training, and compliance.

Relationships with Others’ Jobs:

Works very closely with the Finance and Legal departments.

Frequent interaction with executive management (CEO, Team Leaders, HR, IT, Corporate EAs, etc).

Qualification Profile:

Education and Experience:

Qualified and member of the Institute of Company Secretaries of India, Post-Graduation degree.

A legal degree will be an advantage.

5-7 years of work experience at a new age growing company which is; multi-locational, preferably funded or acquired, operates in the technology domain, and has customers, employees, and suppliers over the International footprint.

Exposure and Interaction with good law firms/lawyers in handling legal due diligence for mid-sized M&A deals or for valuation purposes.

Great legal and policy drafting skills.

Proficient in using commonly used Desktop and Online business applications.

Overall good oral and written communication and presentation skills.
